1. Acceptance of Terms

By accessing or using the services provided by Matthew Maples LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to all of these Terms, you may not access or use our services. These Terms apply to all visitors, users, clients, and others who access or use our services.

Matthew Maples LLC is a limited liability company registered in the State of California, with its principal place of business at 338 N Canal St, South San Francisco, CA 94080.

2. Description of Services

Matthew Maples LLC provides digital marketing and technology services, including but not limited to:

• Traffic arbitrage consulting and campaign management
• App and web development and solutions
• Digital monetization strategy and implementation
• Google Ads campaign management and optimization
• Online advertising strategy and media buying
• Performance marketing analytics and reporting

The specific services provided to any client will be defined in a separate Statement of Work, Service Agreement, or similar document executed between the Company and the client. These Terms govern the general relationship and are supplemented by any such specific agreements.

3. User Obligations

By using our services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials
• Comply with all applicable local, state, national, and international laws and regulations
• Not use our services for any unlawful purpose or in violation of any regulations
• Not engage in any conduct that restricts or inhibits anyone's use or enjoyment of the services
• Not attempt to gain unauthorized access to any portion or feature of the services
• Comply with all applicable advertising platform policies, including Google Ads policies
• Not use our services to transmit any unsolicited or unauthorized advertising or promotional material

You represent and warrant that you have the legal right and authority to enter into these Terms and to use our services as described herein.

4. Intellectual Property

All content, materials, tools, software, and deliverables created by Matthew Maples LLC, including but not limited to code, designs, strategies, reports, and documentation, are the intellectual property of Matthew Maples LLC unless otherwise agreed upon in writing.

Upon full payment of applicable fees, the Company grants clients a non-exclusive, non-transferable license to use deliverables solely for the purposes outlined in the applicable service agreement. Any proprietary tools, frameworks, or methodologies used by the Company remain the exclusive property of Matthew Maples LLC.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content or materials without the prior written consent of Matthew Maples LLC.

5. Payment Terms

Payment terms for services are specified in individual service agreements. Unless otherwise agreed in writing:

• Invoices are due within thirty (30) days of issuance
• Late payments may incur a monthly interest charge of 1.5% or the maximum permitted by law
• The Company reserves the right to suspend services for accounts more than 30 days overdue
• All fees are non-refundable unless otherwise specified in the applicable service agreement
• Advertising spend budgets passed through to third-party platforms are billed at cost and are non-refundable once spent

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Matthew Maples LLC does not warrant that services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not guarantee specific results from advertising campaigns, traffic acquisition efforts, or monetization strategies. Digital advertising performance depends on numerous factors outside our control, including but not limited to platform algorithm changes, market conditions, and competition.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATTHEW MAPLES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE OUR SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO MATTHEW MAPLES LLC IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Matthew Maples LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services, including but not limited to any use of the services' content other than as expressly authorized in these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in San Mateo County, California.

Any cause of action or claim you may have arising out of or relating to these Terms or the services must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action is permanently barred.

10. Changes to Terms

Matthew Maples LLC reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
